Wholesale Terms

REQUIREMENTS
To become a wholesale customer you will need a Australian Business Number [ABN] and Liquor Licence in your state of business.  Details of these will be requested to establish account.

AGREEMENT
The purchaser accepts all of the conditions of this agreement by ordering and purchasing wine from OTW

PAYMENT TERMS AND CREDIT
Off Track Wine Pty Ltd [OTW] accepts EFT or Credit Card payments.  

ACCOUNT
Customers may apply for credit facilities with OTW without guarantees to a value of $2,000 and with payments due 30 days from invoice date by completing the form in link above. 

OVER $2,000 CREDIT - Larger Credit Facilities will require trade references and director guarantees. Any account may be withdrawn or varied at the discretion of OTW.

SAMPLING CLAIMBACKS
To help you engage with customers, OTW will refund any cans opened and used for sampling.  

For example, a customer is curious about 'wine in a can'.  Offer the customer the option to buy a can and if they don't enjoy replace with something else. 

Claims for sample stock must be made within an order period [between one order and the next].    This is capped at 1 can per 12-pack [8.3%] across all purchases, unless otherwise communicated.

THE BORING STUFF

CLAIMS PROCEDURE
Any claims of domestic in-transit damage will be replaced by credit on account.  They should be reported to OTW within 7 days after receipt of goods. Please quote invoice number, delivery address and date, as well as all other relevant details pertaining to your claim.

CLAIMS LIABILITY
Subject only to the provisions of the Trade Practices Act Australia which necessarily apply to the contract and cannot be excluded, all other implied terms, conditions and warranties are hereby expressly excluded, and OTW’s liability is limited to the cost of replacing the goods.

Replacement or credit will only be forthcoming on stock broken or damaged in transit; it explicitly excludes damage on the Purchaser’s premises.

ULLAGES
OTW will accept faulty stock (including label damage, dry breaks, leakers or short fills etc.) for replacement only if seals on cans are still intact and date not expired. 

RETENTION OF TITLE
All goods delivered by OTW remain the property of OTW and the Title on any goods does not pass to the purchaser until all debts owed to OTW on any account whatsoever, including Interest, Bank Charges, Legal Fees and Collection Expenses are paid to OTW in full. In this regard the Purchaser grants the right to OTW to enter the Purchasers premises, or any other premises where the goods are reasonably believed to be stored, without notice, to take possession of the goods. Notwithstanding the foregoing, it is agreed that the goods are at the entire risk of the purchaser from the time of delivery.

DATE & CHANGES
Our price list is reviewed annually and updated on our website under your customer login.   Changes may occur from time to time, and OTW reserves the right to change data without notice.  Major pricing adjustments (greater than CPI) will be communicated via email.

OUTSTANDING MONIES
OTW reserves the right to charge monthly interest at Australian Commercial Equity Banking Interest rates on all monies owing outside agreed trading terms by the Purchaser and further, the Purchaser agrees to reimburse the OTW for any Legal expenses, collection expenses or Bank Charges incurred by OTW in the recovery or attempted recovery of overdue monies.
